Heads of Terms Elite Mobile Affiliate Program
You (the “Affiliate”) have chosen to enroll in the Elite Mobile’s (the “Company”) Affiliate Program.
You will find contained in this letter, the heads of terms for the use of the Elite Mobile Affiliate Program. These terms are supplemental to and should be read in conjunction with your affiliate agreement and are intended by both parties to be legally binding and your continued participation in our affiliate program after any modifications indicates your acceptance of these terms.
1. Eligibility:
To participate in our affiliate program for vape products, you must be at least 18 years old and comply with all applicable laws and regulations regarding the promotion and sale of vape products in your jurisdiction.
2. Commission Structure:
We offer a commission on qualifying sales generated through your unique affiliate link. The commission rate and structure will be outlined in a separate agreement or communicated to you directly.
3. Promotional Materials:
We will provide you with approved marketing materials, such as banners, images, and text links, that you can use to promote our vape products. You may only use the materials provided by us, and any unauthorized use is strictly prohibited.
4. Prohibited Activities:
As an affiliate, you agree not to engage in any misleading, fraudulent, or deceptive practices while promoting our vape products. This includes but is not limited to false advertising, spamming, or any other activity that could harm our brand reputation.
5. Compliance with Laws:
You are responsible for ensuring that your promotional activities comply with all applicable laws and regulations, including but not limited to advertising restrictions and age verification requirements related to the promotion and sale of vape products.
6. Termination:
We reserve the right to terminate your affiliate account at any time if we determine that you have violated these terms and conditions or engaged in any prohibited activities. Termination may result in the forfeiture of any outstanding commissions.
7. Modification of Terms:
We may modify these terms and your affiliate agreement at any time, and it is your responsibility to regularly review them. Continued participation in our affiliate program after any modifications indicates your acceptance of the updated terms.
8. Limitation of Liability:
1. Subject to the terms herein all conditions and representations express or implied by statute, common law, custom, usage or otherwise in relation to the Products are hereby excluded to the fullest extent permitted by law.
2. Subject to term 8.3 below, The Company’s shall only be liable to the Affiliate under these heads of terms for the promotional, advertising and marketing material provided by the Company.
3. The Company shall only be liable in respect of term 8.2 above, where the Affiliate has used such promotional, advertising and marketing material provided by the Company, without variation, changes or amendments to such material.
4. The Company shall not be liable to the Affiliate for:
a. direct or indirect loss of profits, anticipated profits, business interruption or for any indirect or consequential loss or damage, including but not limited to claims made against the Affiliate by third parties, even if such losses were reasonably foreseeable; and
b. any acts or omissions of the Affiliate or any third parties including but not limited to any loss damage or injury direct or indirect resulting from defective material faulty workmanship or otherwise, howsoever arising
5. Notwithstanding the foregoing, nothing in these Terms and Conditions excludes or limits the liability of the Company for any fraudulent representation or death or personal injury caused by the Company’s negligence.
6. The Company shall not be liable to the Affiliate as a result of any delay or failure to perform its obligations under these Terms and Conditions or the [Affiliate Agreement] as a result of a Force Majeure Event. If the Force Majeure Event prevents the Company from performing its obligations for more than 4 weeks, the Company shall, without limiting its other rights or remedies, have the right to terminate the Contract immediately by giving written notice to the Affiliate.
9. Indemnities:
1. The Affiliate shall indemnify the Company against all costs, claims, expenses, losses or liability incurred in connection with any claim made by a third party in respect of a breach of condition 3 (Promotional Materials), condition 4 (Prohibited Activities) and/or condition 5 (Compliance with Laws) above.
2. Subject always to 8.3 and in accordance with term 8.2 above, the Company shall indemnify the Affiliate against all costs, claims, expenses, losses or liability incurred in connection with any claim made by a third party in respect of condition 3 (Promotional Materials), subject to:
a. Affiliate promptly notifying the Company upon knowledge of claim or circumstances which may result in a claim under the indemnity;
b. Affiliate taking all reasonable steps to mitigate its losses;
c. Affiliate allowing the Company (at its option) the conduct of the defence of any claim and/or remediation of the breach giving rise to the indemnity; and
d. Affiliate providing the Company with such reasonable assistance as it may require to defend any claim or remediate any breach.
10. Waiver
No waiver of any provision hereof shall be effective unless made in writing and signed by the waiving party. The failure of any party to require the performance of any term or obligation of this Agreement, or the waiver by any party of any breach of this Agreement, shall not prevent any subsequent enforcement of such term or obligation or be deemed a waiver of any subsequent breach.
11. Priority
Where any conflict arises between these heads of terms and the terms of the Affiliate Agreement and these terms, the Affiliate Agreement shall take precedent.
12. Governing Law:
These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England.
Social Media Notice
Affiliates are strictly not allowed to promote the client in paid-for posts or in non-paid for posts across social media platforms such as TikTok, Instagram or Facebook/Meta including on non-private accounts.
